Interpretation and Definitions
Interpretation
Words whose initial letters are capitalized have meanings defined below. These definitions have the same meaning whether they appear in singular or plural form.
Definitions
For purposes of these Terms of Service:
Clinical Services means therapy, counseling, consultation, assessment, telehealth, outdoor therapy, walk-and-talk therapy, and related professional services provided by Echo Canyon Therapy.
Company—also referred to as “Echo Canyon Therapy,” “We,” “Us,” or “Our”—means Echo Canyon Therapy, LLC, located in Phoenix, Arizona, United States.
Device means any device capable of accessing the Website, including a computer, mobile phone, or tablet.
Service means the Website, its content, contact and scheduling features, and other nonclinical services made available through the Website. Clinical Services are governed by additional agreements as explained in these Terms.
Terms means these Terms of Service, which govern Your access to and use of the Service.
Third-Party Service means any website, platform, application, scheduling system, payment processor, social-media service, map, or other service operated by someone other than Echo Canyon Therapy.

Accessing the Website, submitting a contact form, sending an email, requesting a consultation, or scheduling an initial appointment does not by itself establish a therapist-client relationship.
A therapist-client relationship is established only after:
Echo Canyon Therapy has determined that Clinical Services are appropriate and available;
both parties have agreed to begin services; and
all required intake, informed-consent, privacy, financial, and practice-policy documents have been completed.
Do not delay seeking professional care because of information found on the Website.
Clinical Services and Additional Agreements
Clinical Services are governed by separate documents that may include:
Informed-consent documents;
Practice policies;
Financial and cancellation policies;
Telehealth consent forms;
Outdoor therapy or walk-and-talk consent forms;
Privacy notices and authorizations;
Good Faith Estimates; and
Other forms required by law, professional standards, or the circumstances of treatment.
If these Terms conflict with a signed clinical agreement concerning the delivery of Clinical Services, the signed clinical agreement will control with respect to the Clinical Services.
Nothing in these Terms creates a guarantee that Echo Canyon Therapy will accept any particular person as a client or continue providing Clinical Services indefinitely.
No Guarantee of Results
Therapy is a collaborative and individualized process. Experiences and outcomes differ between clients.
Echo Canyon Therapy does not guarantee any particular result, improvement, diagnosis, recovery timeline, personal outcome, or resolution from Clinical Services or from information provided through the Website.
Testimonials, examples, descriptions of therapeutic approaches, and educational materials should not be understood as promises or guarantees of similar results.
Emergencies and Crisis Situations
The Website, its contact forms, email, voicemail, and scheduling tools are not continuously monitored and must not be used for emergencies or urgent crisis communication.
If You or another person may be in immediate danger, call 911 or go to the nearest emergency department. In the United States, You may also call or text 988 to reach the Suicide & Crisis Lifeline.
Echo Canyon Therapy does not provide emergency response, crisis stabilization, or around-the-clock monitoring through the Website.
Eligibility and Minors
You must have the legal capacity to agree to these Terms.
Minors may view general Website content. However, minors may not independently enter into binding agreements or begin Clinical Services unless permitted by applicable law.
When parental or legal-guardian consent is required, the parent or legal guardian is responsible for reviewing applicable agreements and providing the necessary authorization.
Privacy
Your use of the Website is subject to Our Privacy Policy.
Information collected through general Website forms may not receive the same protections as information transmitted through an approved secure client portal. You should not submit highly sensitive medical, mental-health, financial, or emergency information through a general contact form, standard text message, or unencrypted email.
Health information created or maintained as part of a therapist-client relationship may also be governed by Our Notice of Privacy Practices and applicable privacy laws.
Scheduling and Communications
Submitting an appointment request does not guarantee that an appointment has been scheduled or that Echo Canyon Therapy has accepted You as a client.
An appointment is confirmed only when You receive confirmation through an authorized scheduling system or directly from Echo Canyon Therapy.
Electronic communications can be delayed, misdirected, intercepted, or accessed by others. You are responsible for choosing communication methods appropriate to Your privacy needs and for keeping Your contact information current.
Echo Canyon Therapy may use third-party systems for scheduling, forms, communications, video appointments, client records, billing, or payment processing. Your use of those systems may also be subject to the third party’s terms and privacy practices.
Fees, Payments, and Cancellations
Fees, payment responsibilities, insurance or reimbursement information, cancellation requirements, and related financial policies for Clinical Services are governed by the financial agreements and practice policies provided to clients.
Information about fees displayed on the Website may change. Unless otherwise required by law or agreed to in writing, the fee confirmed in Your current financial agreement will control.
Echo Canyon Therapy does not guarantee reimbursement from an insurance company, employer, health plan, or other third party.
Intellectual Property
Unless otherwise stated, the Website and its original content, design, branding, graphics, logos, photographs, written materials, downloads, and other features are owned by or licensed to Echo Canyon Therapy and are protected by applicable intellectual-property laws.
You may view and print Website materials for Your personal, noncommercial use.
You may not reproduce, distribute, modify, republish, sell, license, publicly display, create derivative works from, or commercially exploit Website content without prior written permission from Echo Canyon Therapy, except where permitted by law.
The Echo Canyon Therapy name, logo, branding, and the phrase “Healing That Resonates” may not be used in a manner that suggests affiliation, endorsement, or authorization without prior written permission.
Acceptable Use
You agree not to use the Service:

To interfere with the Website’s security or operation;

The Service may contain links to Third-Party Services that are not owned or controlled by Echo Canyon Therapy.
Echo Canyon Therapy does not control and is not responsible for the availability, security, accuracy, content, privacy practices, terms, products, or services of third parties.
The inclusion of a link does not necessarily mean that Echo Canyon Therapy endorses the third party or its content.

Termination or Suspension of Website Access
We may suspend, restrict, or terminate Your access to the Website, without prior notice, when We reasonably believe that You have violated these Terms, interfered with the Service, created a security risk, or used the Service unlawfully.
Upon termination, Your right to use the Service will immediately cease.
Suspension or termination of Website access is separate from the termination of an established therapist-client relationship. The ending or transfer of Clinical Services will be handled according to applicable clinical agreements, professional responsibilities, and law.
“As Is” and “As Available” Disclaimer
The Website is provided on an “AS IS” and “AS AVAILABLE” basis.
To the fullest extent permitted by law, Echo Canyon Therapy disclaims warranties concerning the Website, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and noninfringement.
Echo Canyon Therapy does not warrant that:
The Website will meet all of Your needs;
The Website will always be available, uninterrupted, secure, or error-free;
Information on the Website will always be complete, current, or free from errors;
Defects will be corrected immediately; or
The Website, its servers, or communications will be free from viruses or other harmful components.
Website content may contain typographical errors, outdated information, or technical inaccuracies. Echo Canyon Therapy may correct or update content at any time without notice.

To the fullest extent permitted by law, Echo Canyon Therapy and its owners, employees, contractors, service providers, and licensors will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from or related to:

For claims arising solely from use of the Website or other nonclinical Service, Echo Canyon Therapy’s total liability will not exceed the amount You paid directly through the Website during the six months preceding the event giving rise to the claim or $100, whichever is greater.
These limitations do not apply to liability that cannot lawfully be limited or excluded. Nothing in these Terms is intended to waive or limit any rights or responsibilities relating to professional negligence, gross negligence, intentional misconduct, or Clinical Services when such a waiver or limitation is prohibited by law.

Indemnification
To the extent permitted by law, You agree to defend, indemnify, and hold harmless Echo Canyon Therapy and its owners, employees, contractors, and service providers from claims, liabilities, damages, judgments, losses, and reasonable expenses resulting from:
Your unlawful or unauthorized use of the Website;
Your material violation of these Terms;
Your infringement of another person’s rights; or
Content or information You knowingly submit through the Website in violation of law or another person’s rights.
This section does not require You to indemnify Echo Canyon Therapy for its own professional negligence, gross negligence, or intentional misconduct.
Governing Law
These Terms and Your use of the Service are governed by the laws of the State of Arizona, without regard to conflict-of-law principles.
To the extent permitted by law, any legal proceeding concerning the Website or these Terms will be brought in a court of competent jurisdiction located in Maricopa County, Arizona.
Your use of the Service may also be subject to other applicable local, state, federal, or international laws.
Informal Dispute Resolution
Before filing a legal claim relating to the Website or these Terms, You agree to make a reasonable effort to resolve the concern informally by contacting Echo Canyon Therapy and describing the issue.
This requirement does not prevent either party from seeking urgent injunctive relief, filing a complaint with a licensing board or government agency, or exercising any right that cannot lawfully be restricted.
Concerns involving Clinical Services may also be subject to the complaint and dispute procedures described in Your informed-consent documents or Notice of Privacy Practices.
European Union Users
If You are a consumer residing in the European Union, You retain the benefit of any mandatory consumer protections provided by the laws of the country in which You reside.
United States Legal Compliance
You represent that:
You are not located in a country subject to a United States government embargo or designated by the United States government as supporting terrorism; and
You are not listed on a United States government list of prohibited or restricted parties.
Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be interpreted or modified to accomplish its purpose to the greatest extent permitted by law.
The remaining provisions will continue in full force and effect.
Waiver
A failure by either party to exercise a right or enforce a provision of these Terms does not waive the right to exercise or enforce it later.
A waiver of one breach does not constitute a waiver of any later breach.
Entire Agreement
These Terms, together with the Privacy Policy and any other policies expressly incorporated into them, constitute the entire agreement concerning use of the Website.
Separate signed clinical, financial, privacy, and informed-consent agreements govern Clinical Services.
Assignment
You may not assign or transfer Your rights or obligations under these Terms without prior written permission from Echo Canyon Therapy.
Echo Canyon Therapy may assign these Terms as part of a merger, reorganization, transfer of business assets, or similar transaction, subject to applicable law and professional confidentiality requirements.
Translation
These Terms may be translated for convenience. If a translated version conflicts with the original English version, the English version will control to the extent permitted by law.
Changes to These Terms
We may modify or replace these Terms from time to time.
When changes are made, the updated version will be posted on the Website with a revised “Last updated” date. When a change materially affects Your rights, We will make reasonable efforts to provide additional notice when appropriate.
Changes become effective when posted unless a later effective date is stated.

Changes to Clinical Services, fees, privacy practices, or treatment policies may be governed by separate notices and agreements.
